Terms & Conditions

Effective Date: August 13, 2025

These Terms & Conditions (“Terms”) govern access to and use of the AdaptiveImport services, sites, and applications (the “Service”) provided by AdaptiveImport LLC (“AdaptiveImport”, “we”, “us”). By creating an account, accessing, or using the Service, you agree to these Terms.

1. Eligibility and Accounts

  • You must be at least 18 and capable of forming a binding contract.
  • You are responsible for your account credentials, configuration, user provisioning, and maintaining accurate information.
  • You will implement appropriate internal controls to review AI outputs and approve any downstream actions.

2. Service Description

The Service provides tooling to ingest brokerage documents, apply AI extraction and rules, validate data, and export artifacts (e.g., XML/JSON) for use with third-party systems you configure. AdaptiveImport is not a customs broker and does not provide legal, tax, or compliance advice. You are solely responsible for the accuracy and compliance of entries submitted to government systems or third-party platforms.

3. License and Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not, whether directly or indirectly, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying ideas of the Service. You may also not use the Service, any outputs, or any related intellectual property to design, build, train, or improve any product or service that is competitive with, substantially similar to, or could reasonably be seen as an alternative to the Service. You may not attempt to circumvent security features, usage limits, or otherwise interfere with or disrupt the integrity or performance of the Service. You retain ownership of Customer Data; we retain ownership of the Service and all related IP. We may use de-identified, aggregated data to operate and improve the Service as permitted by our Privacy Policy and your settings. Any attempt to avoid, bypass, or improperly reduce applicable fees or charges for use of the Service is strictly prohibited.

4. Customer Data

  • “Customer Data” means documents, information, and content you upload, provide, or generate through the Service, including extracted fields and exports.
  • You represent and warrant that you have all necessary rights, consents, and authorizations to process Customer Data through the Service and share it with configured destinations.
  • You acknowledge AI outputs may contain errors or omissions and agree to apply human review and quality checks before operational use.
  • On termination or upon request, we will delete or return Customer Data in accordance with the Privacy Policy and applicable law, subject to permitted retention of audit and security logs.

5. Sub-Processors, Third Parties, and DPAs

We use sub-processors to provide the Service, including OpenAI (AI inference), Google Cloud/Firebase (authentication, database, storage, functions), Stripe (payments), and Vercel (hosting). Processing by these providers is governed by their terms and data processing addenda (DPAs). By using the Service you authorize us to engage these sub-processors. We will provide notice of material changes where required by law or agreement. Where CCPA/CPRA applies, AdaptiveImport acts as a Service Provider and will not sell or share personal information or use it for purposes other than providing the Service. Where GDPR or similar laws apply, the customer is the Controller and AdaptiveImport is the Processor.

If required by law or your policies, we will execute a Data Processing Addendum. If there is a conflict between these Terms and a signed DPA regarding personal data processing, the DPA controls.

6. Plans, Fees, and Payments

  • Fees are charged per your selected plan and any metered usage (e.g., per-document/entry processing, overages). Taxes may apply.
  • Payments are processed by Stripe; you authorize recurring charges where applicable. AdaptiveImport does not store full payment card numbers.
  • Except where required by law, all fees are non-refundable.
  • We may modify pricing with prior notice as stated on the Service.
  • We may suspend or terminate access for non-payment or material breach, following notice where required by law or agreement.

7. Acceptable Use

  • No unlawful, infringing, or harmful content or activities.
  • No attempts to probe, scan, or test vulnerabilities or to interfere with the Service.
  • No use of the Service to submit entries or documents you know to be false or misleading.
  • No reselling or providing the Service to third parties unless authorized in writing.
  • Do not upload Protected Health Information (PHI). The Service is not intended to support HIPAA-regulated workloads and AdaptiveImport is not a HIPAA Business Associate.

8. Beta Features, Availability, and Modifications

We may offer pre-release features designated as beta, preview, or experimental. Such features are provided “as is,” may be discontinued at any time, and may not be covered by support or service commitments. Unless otherwise agreed in writing, the Service has no uptime or availability SLA. We may modify or discontinue the Service or any feature with reasonable notice where required by law or agreement.

9. Confidentiality and Security

Each party will protect the other’s confidential information using reasonable safeguards and only use it as permitted by these Terms. We implement technical and organizational measures to protect Customer Data as described in the Privacy Policy. You are responsible for securing your accounts, enforcing least-privilege access, and reviewing outputs prior to use. Security and audit logs may be retained after termination for security, compliance, and legal purposes.

10. Disclaimers

The Service and AI outputs are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that outputs will be accurate, complete, or compliant with any specific jurisdiction’s requirements without your review and approval.

11. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill. Except for your payment obligations and indemnities, each party’s aggregate liability arising out of or related to the Service will not exceed the amounts paid by you to AdaptiveImport for the Service in the twelve (12) months before the event giving rise to liability.

12. Indemnification

  • You will indemnify and hold AdaptiveImport harmless from claims arising out of Customer Data, your use of the Service in violation of law or these Terms, or your combination of outputs with systems not provided by AdaptiveImport.
  • AdaptiveImport will indemnify you from third-party claims alleging that the Service, as provided by us and used in accordance with these Terms, infringes a U.S. patent, copyright, or trademark, subject to customary exclusions and your prompt notice and cooperation.

13. Term, Suspension, and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate access for material breach, non-payment, security risk, or to comply with law. Upon termination, your right to use the Service ceases, and we will handle Customer Data per the Privacy Policy and applicable law. Sections that by their nature should survive will survive termination.

14. Export, Sanctions, and Compliance

You will comply with all applicable export control and sanctions laws. You will not use the Service to process or transmit content where such use is prohibited. You are responsible for ensuring your use of outputs complies with customs and trade laws applicable to your operations.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law rules. The exclusive venue for disputes is the state or federal courts located in Maricopa County, Arizona, and the parties consent to personal jurisdiction in those courts.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be posted to the Service and take effect on the stated effective date. Continued use after changes constitutes acceptance.

18. AI & Data Usage Disclosure

By using the Service you instruct us to process Customer Data through AI models for extraction and transformation. We do not allow providers to use your content to train public models. We may request your opt-in to anonymized, aggregated improvement of our internal templates and rules. You can change this preference in admin settings or by contacting us.
